Viasys to Acquire Micro Medical

In a move designed to enhance the company's international presence, Viasys Healthcare, Inc. (Conshohocken, PA, USA) has agreed to acquire Micro Medical Ltd. (Chatham, UK) for about U.S.$39 million.

Viasys is also assuming around $1.2 million in net debt and has agreed, in certain circumstances, to make a contingent payment related to the sales of a new product and a contingent payment related to performance targets. Viasys is a global supplier of airway-management devices, ventilators, spirometer testing devices, and other respiratory products under the brand names of Jaeger, SensorMedics, Bird, and Bear.

Micro Medical is a leading manufacturer of turbine spirometers and also produces products for respiratory measurements used to diagnose and monitor asthma, chronic obstructive pulmonary disease (COPD), and bronchitis. The company's Pulse Trace system is an innovative system for measuring arterial stiffness, shown to be a risk factor for cardiovascular disease.

"This is a very exciting acquisition for Viasys and brings us an outstanding company in one of the fastest growth segments of respiratory diagnostics,” observed Ed Pulwer, group president, Viasys Respiratory Care. "The continued rise in the incidence of asthma and COPD and the financial burden associated with chronic respiratory diseases have resulted in medical professionals and governments calling for early diagnosis, intervention, and management of these patients.”

"Micro Medical's products are innovative as well as cost-effective,” added Mr. Pulwer. "Their simplicity of use makes them well-suited for use in primary care.”
